The CEO

The CEO is in charge of the company's management, in the framework of the general policy determined by the board of directors. He holds the powers which have not been attributed by law or by the articles of association to the board of directors.

The board of directors

The board of directors sets the general policy of the company and checks its management.

Its powers comprise:

Establishing the plan and budget of the company.
Checking the financial situation of the company.
Determining the structure of the company and its employment policy.
Allowing issuance of bonds.
Drafting and issuing the annual report.
Appointing and dismissing the CEO.
Approving sensitive deals.
Allowing issuance of shares.
Organizing the ways shareholders' meetings are convened and held.

and powers which have been attributed by law or by the articles of association to the shareholders' meetings.
